Refer a Friend Program

The following terms and conditions (“Program Terms”) govern participation in the Twist Bioscience Corporation (“Twist”) Refer a Friend Program (“Program”). By participating in the Program, you agree to be bound by these Program Terms, which are in addition to and incorporated into Twist’s Terms and Conditions and Privacy Policy.

1. Program Overview. The Program allows eligible existing Twist customers (“Referrers”) to refer individuals or entities (“Referred Friends”) to Twist. When a Referred Friend places their first qualifying order with Twist, both the Referrer and the Referred Friend will each receive a $25 gift card (“Reward”), subject to the terms and conditions set forth herein.

2. Eligibility.

(a) Referrers. To be eligible to participate as a Referrer, an individual must be an existing Twist customer with a registered account in good standing at the time of the referral and at the time the Reward is issued.

(b) Referred Friends. To qualify as a Referred Friend, an individual or entity must be new to Twist, meaning they have not previously held a Twist account or placed an order with Twist at the time the referral is submitted.

(c) General. The Program is open to participants globally. Participation is void where prohibited or restricted by applicable law or regulation.

3. Referral Process and Reward Conditions.

(a) The Referrer must submit the referral through the designated referral mechanism provided by Twist.

(b) The Reward is earned and issued only upon the Referred Friend’s completion of their first qualifying order with Twist. A “qualifying order” means a completed and paid order that is not subsequently cancelled, returned, or refunded.

(c) Twist reserves the right, in its sole discretion, to determine whether a referral and the associated order qualify for a Reward.

4. Referral Limits and Restrictions.

(a) Each Referrer is limited to a maximum of five (5) referrals within any seven (7) day rolling window. Any referral submitted in excess of this limit will be automatically rejected and will not be eligible for a Reward.

(b) Self-referrals are prohibited. A Referrer may not refer themselves, nor may a Referrer refer any account associated with the Referrer’s own email address, billing information, or household.

(c) Referrals must be made to genuine prospective customers. Bulk, automated, or programmatically generated referrals are prohibited.

(d) Rewards are non-transferable, may not be combined with other promotions or offers (unless expressly permitted by Twist), and have no cash redemption value except where required by applicable law.

5. Fraud and Abuse.

(a) Twist reserves the right to investigate any suspected fraudulent, abusive, or non-compliant activity in connection with the Program. If Twist determines, in its sole discretion, that a participant has engaged in fraud, abuse, or any violation of these Program Terms, Twist may: (i) disqualify the participant from the Program; (ii) void or revoke any pending or issued Rewards; (iii) recoup the value of any Rewards previously redeemed; and (iv) suspend or terminate the participant’s Twist account.

(b) Examples of prohibited conduct include, without limitation: creating fictitious accounts or referrals; referring individuals or entities with whom the Referrer has a financial arrangement to generate referrals; using any automated means to submit referrals; and misrepresenting any information in connection with the Program.

6. Tax Responsibility. Recipients of Rewards are solely responsible for any tax obligations arising from the receipt or use of a Reward, including without limitation any applicable income, sales, use, or value-added taxes, in each case as determined under the laws of the recipient’s jurisdiction.

7. Privacy. Personal information collected in connection with the Program will be handled in accordance with Twist’s Privacy Policy. By submitting a referral, the Referrer represents that the Referred Friend has consented to or is otherwise aware of the sharing of the Referred Friend’s contact information with Twist for the purpose of the Program.

8. Modification and Termination. Twist reserves the right, in its sole discretion, to modify, suspend, or terminate the Program, in whole or in part, at any time and for any reason, with or without notice. Any such modification, suspension, or termination shall not affect Rewards that have already been earned and issued prior to the effective date of such action, except in cases of fraud or abuse as described in Section 5.

9. Limitation of Liability. To the maximum extent permitted by applicable law, Twist shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the Program or any Reward, regardless of the theory of liability. Twist’s total aggregate liability in connection with the Program shall not exceed the value of the Reward at issue.

10. Governing Terms. These Program Terms are subject to and shall be interpreted in accordance with Twist’s Terms and Conditions. In the event of any conflict between these Program Terms and the Terms and Conditions, the Terms and Conditions shall control, except with respect to matters expressly addressed herein.
